Yuma Validator Staking Terms of Service

These Staking Terms of Service (these
“Terms”
) govern your access to and use of Yuma’s crypto asset staking services, including your delegation of TAO and any digital token associated with any subnet within the Bittensor network (
“Alpha Tokens”
, and together with TAO,
“Tokens”
) to validator infrastructure operated by Yuma, whether through direct interaction with the Bittensor protocol, a wallet, an application programming interface, a website or interface made available by Yuma, or any third-party website, application, wallet, interface, protocol integration, service provider, or other channel through which Yuma’s staking functionality is made available (collectively, the
“Services”
). These Terms are publicly available and govern all use of the Services regardless of the interface, wallet, protocol integration, or service provider, as applicable, through which the Services are accessed.
These Terms are a binding agreement between you and

). By accessing or using any part of the Services, including through any Third-Party Provider Services (as defined herein), you agree to be bound by these Terms. To the extent of any conflict between these Terms and any terms of a Third-Party Provider Services provider with respect to Yuma’s relationship with you, these Terms will control unless otherwise expressly stated by Yuma.
Please read these Terms carefully.
They contain important provisions regarding eligibility, permitted use, third-party service access, protocol and market risks, disclaimers, limitations of liability, indemnification, arbitration, waiver of class actions, and waiver of jury trial. If you do not agree to these Terms, you must not access or use the Services.
1. Eligibility and Access

You may not access or use the Services unless you agree to these Terms. By accessing or using the Services, you represent and warrant that you are at least 18 years old, have full power and authority to enter into these Terms, and are using the Services only for your own account or for an entity you are authorized to bind. You may not access or use the Services if you are located, organized, or ordinarily resident in any jurisdiction where access to or use of the Services would be unlawful or would subject Yuma or any Company Party to registration, licensing, or other regulatory requirements that Yuma does not elect to satisfy.
2. The Services; How Staking Works

The Services are crypto asset staking and related validator technology services used to support consensus and related protocol operations on the Bittensor network. Through the Services, you may delegate TAO to Yuma’s validator on the Root Network (Root subnet) of the Bittensor network or stake or delegate Tokens in connection with validator activity on one or more other Bittensor subnets. If you access the Services through a third-party website, application, wallet, interface, protocol integration, or other service provider that enables access to Yuma’s staking functionality (collectively,
“Third-Party Provider Services”
), those third-party services may impose additional terms, conditions, disclosures, technical rules, and operational requirements, all of which are incorporated by reference into these Terms to the extent applicable to your use of the Services through that channel. You are solely responsible for reviewing and complying with those third-party terms, and your use of any Third-Party Provider Services is at your own risk.
In the case of any staking activity, staking and unstaking may involve programmatic or automated protocol-level conversion, swap, exchange, routing, staking, compounding, redemption, or distribution mechanics between TAO and Alpha Tokens, including pricing determined by protocol liquidity pools or other protocol mechanisms. The Services facilitate your interaction with the Bittensor protocol and do not constitute a bank account, brokerage account, investment account, managed account, custodial account, trust arrangement, escrow, securities account, commodity account, or other safeguarded account.
Yuma provides technology and validator infrastructure services only. In connection with Root Staking, Yuma operates validator infrastructure and participates in protocol-required validator mechanisms on the Root Network (Root subnet), including setting, modifying, maintaining, or removing validator weights across subnets and performing related protocol-facing functions. Protocol mechanics use validator weights and other protocol inputs to determine how emissions or other protocol-generated value are routed, converted, purchased, staked, distributed, compounded, redeemed, or otherwise reflected. These activities are undertaken as part of operating validator infrastructure and supporting protocol functionality, and do not constitute investment advisory services, asset management services, brokerage services, dealer services, exchange services, trading services, securities advice, commodities advice, tax, legal, accounting, or regulatory advice, custody, a managed account, discretionary account management, or an offer, sale, recommendation, solicitation, underwriting, distribution, placement, or other transaction in securities, commodities, derivatives, investment contracts, or any other financial product or instrument. Yuma does not take custody or control of your private keys or Tokens, does not accept deposits, act as a fiduciary or financial intermediary, and does not undertake to act for your benefit as an adviser, fiduciary, broker, dealer, exchange, asset manager, commodity trading adviser, underwriter, placement agent, securities intermediary, or custodian.
3. Permitted Use; Compliance; Suspension Rights

Unless expressly stated otherwise, your use of the Services is subject to these Terms and any related Yuma policies incorporated herein. You represent, warrant, and agree that you will not access or use the Services in any manner that:
(a) violates any applicable law, rule, or regulation, including any sanctions, anti-money laundering, anti-corruption, tax, consumer protection, securities, commodities, or export control laws; (b) infringes, misappropriates, or otherwise violates any intellectual property right, privacy right, publicity right, contractual right, or other right of any person or entity; (c) is fraudulent, deceptive, misleading, manipulative, or otherwise harmful, including market manipulation, wash trading, spoofing, or use of stolen or illicitly obtained assets; (d) attempts to gain unauthorized access to, interfere with, disrupt, damage, disable, overburden, or impair the Services, the Bittensor protocol, or any related systems, networks, servers, or data; (e) introduces malware or other harmful code, probes or scans for vulnerabilities, circumvents access controls, or uses bots, crawlers, scrapers, or other automated means except as expressly permitted by Yuma; (f) misrepresents your identity, wallet ownership, source of funds, place of residence, nationality, or use of the Services, including through anonymization tools intended to conceal jurisdiction or sanctions exposure; (g) uses the Services in connection with any unlawful activity, including money laundering, terrorist financing, sanctions evasion, unlawful gambling, ransomware, fraud, or trafficking in illicit goods or services; (h) uses the Services in a manner inconsistent with their intended purpose or with any technical, operational, or eligibility requirements made available by Yuma or applicable third-party providers; or (i) causes or could cause Yuma to violate applicable law or to incur civil, criminal, tax, regulatory, licensing, or reputational risk.
You further represent, warrant, and covenant that: (i) you are not, and are not owned or controlled by, any person or entity that is the subject of sanctions or located in a comprehensively sanctioned jurisdiction; (ii) neither you nor any wallet address you use in connection with the Services appears on any applicable prohibited or restricted party list; (iii) your access to and use of the Services will comply with all applicable laws and regulations; and (iv) you will not use any software, device, or technique to obscure or falsify your location, identity, wallet ownership, or activity in connection with the Services.
Yuma may monitor use of the Services for compliance, security, operational, and risk-management purposes. Without limiting any other rights or remedies, Yuma may, without prior notice, block, refuse, restrict, condition, or terminate access to the Services, or decline to support any transaction, wallet, subnet, validator interaction, or user, if Yuma believes such action is necessary or advisable to comply with applicable law, protect against fraud, reduce sanctions, AML, cybersecurity, or counterparty risk, preserve the integrity or security of the Services, respond to governmental requests, or protect Yuma’s business, personnel, users, reputation, or legal position.
4. Assumption of Risk; No Advice

You understand and agree that using the Services and interacting with the Bittensor protocol involves substantial risk.
Digital assets, blockchain networks, validator operations, subnet token economics, and protocol-governed staking mechanisms are novel, experimental, highly volatile, and may expose you to partial or total loss of value. Staking, delegating, swapping, unstaking, and claiming rewards may result in delay, failed execution, irreversible execution, reduced rewards, adverse pricing, diminished liquidity, unexpected tax consequences, or complete loss of Tokens.
Because the Services operate through the Bittensor protocol, self-custodial wallets, validator infrastructure, liquidity pools, subnet systems, and third-party services, your use of the Services is subject to important technical, market, legal, tax, regulatory, governance, and operational risks, including, without limitation, risks arising from protocol changes, governance actions, validator or subnet performance, weight-setting and emissions mechanics, token swaps and conversions, slippage, spread, limited liquidity, volatility, pricing and valuation uncertainty, smart contract or protocol-native failures, cybersecurity incidents, third-party outages, sanctions or other regulatory restrictions, and tax or accounting uncertainty. You acknowledge that Yuma does not own, operate, or control the Bittensor protocol and does not control protocol governance, upgrades, forks, parameter changes, subnet operations, emissions formulas, liquidity pool mechanics, or other protocol-level decisions that may affect the Services, rewards, Token exposure, execution, redemption, liquidity, or value.
You understand that transactions relating to the Services are processed by the Bittensor protocol, applicable blockchain infrastructure, wallets, liquidity pools, blockchain validator logic, and other third-party systems that Yuma does not own, operate, or control. Such transactions may be automatically processed, settle irreversibly, and be subject to protocol fees, network fees, validator commissions, cooldowns, timing delays, failed transactions, slippage, or other limitations. You are solely responsible for all fees, costs, and execution consequences associated with your use of the Services.
You understand that subnet staking may involve the conversion of TAO into Alpha Tokens, and that unstaking, claiming, or exiting may involve the conversion of Alpha Tokens into TAO or other protocol-determined outcomes. These conversion, swap, and liquidity mechanics may be affected by limited liquidity, AMM pricing, timing, queueing, volatility, execution path, adverse selection, slippage, spread, concentration, dilution, oracle or data issues, and other market or protocol factors. Alpha Tokens may be illiquid, volatile, difficult to value, thinly traded, or subject to abrupt loss of utility, demand, or transferability. You assume all risks arising from token swaps, pricing mechanics, liquidity conditions, emissions mechanics, and the value or realizability of any Tokens involved in the Services.
You understand the specific risks of Bittensor Root Staking and validator weight-setting.
Root Staking operates within a protocol architecture in which validators participate in weight-setting, subnet evaluation, emissions routing, and other protocol-level functions. Protocol rules may cause Token emissions or other protocol-generated value to be directed, exchanged, purchased, staked, distributed, compounded, redeemed, or otherwise handled according to protocol logic rather than individualized direction from you. By participating in Root Staking, you acknowledge that you do not control or direct validator weight-setting, subnet allocations, protocol emissions, reward outcomes, Alpha Token exposure, staking or compounding mechanics, redemption value, or other protocol-driven results, and that those matters may be determined by protocol logic, validator operations, governance actions, liquidity, market conditions, or other factors outside Yuma’s control. Validator weight-setting, subnet participation, emissions formulas, flow-based emissions, governance actions, and protocol parameter changes may materially affect rewards, Token exposure, liquidity, execution outcomes, and realized value, and may change at any time without notice. Outcomes are determined by protocol rules and mechanics, which may differ from expectations based on validator activity. Notwithstanding the foregoing, you may be able to initiate certain user-controlled actions through the protocol, such as claiming rewards and initiating unstaking activity, but Yuma does not control or execute such actions and does not guarantee their availability, timing, processing, or outcomes.
Yuma may set, modify, maintain, remove, or otherwise determine validator weights, technical configurations, validator operations, and participation in protocol mechanisms in its discretion and in accordance with its own operational, technical, business, risk-management, and protocol-related considerations. Yuma has no obligation to use, maintain, disclose, or follow any particular weighting methodology; update weights on any particular schedule; include or exclude any particular subnet; obtain best execution; maximize or optimize rewards, yield, returns, Token exposure, redemption value, or other outcomes; minimize losses, volatility, slippage, or tax consequences; or preserve the value of any Token or reward for your benefit. Yuma has no obligation to monitor, intervene in, or adjust validator activity, protocol interactions, or market conditions for your benefit.
Yuma and its affiliates may participate in the Bittensor ecosystem in multiple capacities, including as validator, subnet participant, technology provider, asset manager, investment manager, investor, service provider, commercial counterparty, or otherwise. These activities may involve interests, incentives, positions, or relationships that differ from or conflict with yours. Yuma does not undertake to act for your benefit, to resolve any such interests in your favor, or to treat your use of the Services as giving rise to any fiduciary, advisory, brokerage, agency, asset management, investment management, custodial, securities intermediary, or similar duty.
By using the Services, you represent that you are sufficiently sophisticated to understand the technical, economic, financial, and legal risks of digital assets and protocol-based staking. You understand that the Bittensor network, TAO, Alpha Tokens, subnets, validator operations, and related software may experience bugs, design defects, forks, upgrades, rollbacks, cyberattacks, key compromise, malicious code, consensus failures, governance actions, misconfiguration, downtime, and third-party failures that may result in lost rewards, misdirected transactions, or loss of some or all of your Tokens.
You understand that the regulatory, tax, accounting, legal, and compliance treatment of digital assets, staking, validator services, rewards, token swaps, Alpha Tokens, Root Staking, and related activities is uncertain and may change rapidly. Such changes may adversely affect the lawfulness, availability, value, transferability, tax treatment, accounting treatment, or commercial viability of the Services, TAO, Alpha Tokens, or any related activity, and Yuma is not responsible for monitoring or advising you on these matters.
You understand that rewards, yields, emissions, APY figures, validator statistics, displayed balances, claim values, redemption values, or projections may fluctuate, may be estimates, may not be achieved, and may be reduced by validator commissions, protocol changes, governance actions, market conditions, liquidity constraints, swaps, trading fees, or operational factors. Even if rewards are generated or credited, the number of Tokens, displayed value, protocol-accounted value, claim value, or redemption value may differ from executable, realizable, or market value, and the value of any rewards may decline, including materially or rapidly, because of volatility in the price of TAO, Alpha Tokens, or other relevant digital assets, changes in liquidity, or changes in market demand. Past performance is not indicative of future results, and no reward, yield, return, Token value, claim value, or redemption value is guaranteed.
Yuma provides technology and validator services only. Yuma does not provide legal, tax, accounting, investment, financial, securities, commodities, trading, regulatory, or other professional advice; does not recommend any Token, subnet, validator, staking strategy, swap, delegation, unstaking, redemption, or other transaction; does not undertake to manage, optimize, maximize, or preserve staking rewards, yield, returns, Token exposure, Token value, claim value, or redemption value for your benefit; does not conduct suitability, best-interest, know-your-customer, or eligibility review for your benefit; and does not act as your broker, dealer, exchange, agent, fiduciary, adviser, asset manager, investment manager, commodity trading adviser, underwriter, placement agent, securities intermediary, custodian, or trustee. Nothing in these Terms or in Yuma’s performance of the Services constitutes or should be characterized as an offer, sale, recommendation, solicitation, underwriting, distribution, placement, or other transaction in securities, commodities, derivatives, investment contracts, or any other financial product or instrument. No agency, partnership, joint venture, or similar relationship is created by your use of the Services. Any information provided by Yuma is for general informational purposes only.
You acknowledge that you are not entering into or using the Services for the purpose of making an investment in Yuma or obtaining any ownership interest, equity, security, profit participation, voting right, or interest in the assets, revenues, properties, or business of Yuma or any of its affiliates. You further acknowledge that you have conducted, and will continue to conduct, your own diligence and analysis of the Bittensor protocol, the Services, any Tokens, staking, delegation, swaps, validator selection, subnet selection, and related risks, and that you are not relying on any statement, omission, representation, research, analysis, metric, dashboard, projection, or communication by or on behalf of Yuma as advice or as the basis for any decision to access or use the Services.
You are solely responsible for evaluating whether to use the Services, whether to stake or delegate any Tokens, which subnets to stake to or validators to use, and whether any related activity is appropriate for you in light of your experience, objectives, financial condition, legal status, and risk tolerance. If you do not understand or are not prepared to assume these risks, you must not use the Services.
5. Wallet Security; Non-Custodial Services; No Fiduciary Duties

You are solely responsible for the security of your self-custodial wallet, private keys, seed phrases, access devices, signing authority, and transaction approvals. Yuma does not have access to your private keys and cannot reverse, cancel, recover, or modify protocol-level transactions. Any unauthorized access to your wallet or credentials may result in the loss of some or all of your Tokens, and Yuma is not responsible for any such loss.
You understand and agree that the Services are non-custodial. Yuma does not hold your Tokens for your benefit, does not maintain possession or control of your private keys, and does not act as a bank, custodian, escrow agent, trustee, fiduciary, or other financial intermediary with respect to your Tokens or your use of the Services. To the fullest extent permitted by law, any fiduciary duties that might otherwise be implied are expressly disclaimed and inapplicable.
6. Third-Party Services; Information and Communications

Any information, content, data, analytics, metrics, yields, projected rewards, APY figures, protocol explanations, subnet information, validator statistics, dashboards, calculators, documentation, or other materials made available through the Services may be sourced from Yuma, the Bittensor protocol, third-party providers, public sources, or other users, and may be incomplete, inaccurate, delayed, unavailable, non-final, or subsequently revised. Your access to and use of any such materials is at your own risk. Yuma has no obligation to verify, update, or correct such materials and is not liable for any errors, omissions, delays, or decisions you make in reliance on them.
You are solely responsible for all information, instructions, wallet addresses, transaction parameters, subnet selections, validator selections, staking elections, and other inputs you submit in connection with the Services. If you access the Services through a third-party interface, wallet, protocol integration, or service provider, you are solely responsible for reviewing and understanding the operational flow, fees, execution logic, permissions, and risks associated with that third-party channel.
Your interactions and transactions with any third party, including any Third-Party Provider Services provider, wallet provider, protocol integration provider, market data provider, or communication channel, are solely between you and that third party. Yuma is not responsible for any losses, claims, liabilities, delays, service failures, hacks, insolvencies, misconduct, or other issues arising from or related to any third-party products or services, even if such products or services facilitate access to the Services.
In connection with the Services, you may receive communications from Yuma or from third-party providers through websites, applications, wallets, email, or messaging services. You are solely responsible for verifying the authenticity of communications and safeguarding your credentials, devices, and wallet access information. These third-party dependencies and communication channels may increase the risk of delay, inaccuracy, spoofing, phishing, service disruption, or unauthorized access, and Yuma is not responsible for communications, solicitations, spoofing attempts, or other messages originating from third parties, including any impersonation of Yuma or any third-party provider.
7. Availability; No Guarantee

As a condition of accessing or using the Services, you acknowledge and agree that the Services may be unavailable, interrupted, delayed, degraded, inaccurate, or inoperable from time to time for any reason, including maintenance, network congestion, validator downtime, software errors, security incidents, force majeure events, protocol changes, governance actions, airdrops, forks, subnet deregistration, subnet operator actions or omissions, third-party outages, or other causes beyond Yuma’s control. Yuma does not guarantee that the Services will be continuously available, error-free, timely, secure, or compatible with any wallet, device, subnet, or third-party provider. Yuma does not guarantee validator performance, uptime, reward levels, or any economic outcome associated with the Services.
You acknowledge and agree that you access and use the Services at your own risk and are solely responsible for conducting your own diligence regarding the Bittensor protocol, Yuma, any validator, any subnet, TAO, any Token, any Alpha Token, any swap, stake, unstake, claim, redemption, or exit path, and any third-party product or service used in connection with the Services.
Yuma may respond to protocol changes, governance actions, airdrops, forks, subnet changes, liquidity changes, validator requirements, or other protocol events in any manner Yuma determines appropriate in its sole discretion. Yuma may also modify, suspend, discontinue, support, decline to support, or otherwise change any aspect of the Services, including any validator configuration, subnet participation, weighting approach, integration, feature, interface, communication, operational process, or supported protocol interaction, at any time in its sole discretion, with or without notice. Yuma has no obligation to provide advance notice of, communicate, disclose, explain, monitor, maintain, reverse, or update you regarding any such change, protocol event, response, or operational decision. The reasonable exercise by Yuma of any right or function available to it as a validator or technology services provider, or any decision by Yuma to modify, suspend, discontinue, support, decline to support, or otherwise change any aspect of the Services, will not constitute a breach of these Terms or give rise to any duty to compensate you for losses, reductions in value, missed rewards, diminished rewards, or changed economic outcomes.
These third-party and technical dependencies also mean that the Services may not always be continuously available or function as expected. Yuma is not responsible for any third-party wallet, exchange, interface, protocol integration, bridge, data source, communication platform, market, service provider, or other external product or service, including any Third-Party Provider Services provider. Yuma does not control and does not endorse any third-party service, and your access to or use of any third-party service is entirely at your own risk.
8. Termination

Yuma may suspend, restrict, or terminate your access to or use of the Services at any time, with or without notice, if Yuma determines, in its sole discretion, that you have violated these Terms, that your use presents legal, regulatory, sanctions, security, reputational, operational, or business risk, or that such action is otherwise necessary or advisable. Sections that by their nature should survive termination will survive.
9. Changes to These Terms; Privacy and Related Terms

We may modify these Terms from time to time in our sole discretion by posting updated Terms. The updated Terms will become effective when posted, unless a later effective date is stated. By continuing to access or use the Services after updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Services. Our collection and use of certain information is described in Yuma’s privacy policy and any related notices or terms that apply to the Services. By using the Services, you consent to the collection, use, and disclosure of information as described in those materials, as they may be updated from time to time.
10. Disclaimer of Warranties; Limitation of Liability

Yuma, its affiliates and subsidiaries, and their respective officers, directors, employees, contractors, representatives, agents, suppliers, and licensors (each, a
“Company Party”
and collectively, the
“Company Parties”
) make no warranties or representations about the Services, including their accuracy, completeness, timeliness, reliability, availability, security, suitability for any particular purpose, potential market, rewards, emissions, yield, APY, Token value, claim value, redemption value, or other economic outcome. The Company Parties are not responsible for any information made available through the Services or for any errors, omissions, delays, interruptions, or failures of performance from whatever cause. You agree that you use the Services at your own risk.
The Company Parties do not warrant that the Services will operate error-free or that the Services or any related systems, servers, software, communication channels, or integrations are free of viruses, malware, security vulnerabilities, or other harmful components. If your use of the Services results in the need for servicing or replacing equipment, software, or data, no Company Party will be responsible for those costs.
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, the Company Parties disclaim all warranties, including implied warranties of title, merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, and any warranties arising out of course of dealing, usage, or trade.
To the fullest extent permitted by law, in no event shall any Company Party be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, business, goodwill, opportunity, data, digital assets, or diminution in value, arising out of or relating to the Services, these Terms, your use of or inability to use the Services, any Token, any wallet, any third-party service, any protocol event, any execution failure, any price movement, or any security incident, whether related to a claim under warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.
Without limiting the foregoing, no Company Party will be liable for any damages, losses, liabilities, missed rewards, diminished rewards, reduction in value, failed transaction, delayed transaction, incorrect wallet transfer, protocol-wide malfunction, protocol change, governance action, airdrop, fork, subnet deregistration, subnet operator action or omission, liquidity failure, market movement, or other event that is caused by or arises from the Bittensor protocol, any subnet, any third-party service, or any circumstance outside Yuma’s control, including any circumstance arising from or relating to the Bittensor protocol, any subnet, or any third-party service.
To the fullest extent permitted by law, the aggregate liability of the Company Parties for all claims arising out of or relating to these Terms, the Services, or your access to or use of, or inability to access or use, the Services shall not exceed one hundred U.S. dollars ($100), regardless of the form or theory of the claim. The foregoing limitation is cumulative and not per incident, transaction, wallet, Token, delegation, subnet, validator interaction, claim, or other interaction with the Bittensor protocol or Services. Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you to the extent prohibited by applicable law.
11. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless the Company Parties from and against any and all claims, actions, demands, investigations, inquiries, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and accounting fees) arising out of or relating to: (a) your access to or use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law, regulation, or rights of any other person or entity; (d) your Tokens, wallet, transactions, staking activities, validator selections, subnet selections, source of funds, or dealings with any third party; or (e) any allegation that information, instructions, materials, or assets provided by you caused harm to Yuma or any third party. Yuma may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Yuma in the defense of such matter.
12. Dispute Resolution

Any claim or controversy arising out of or relating to the Services, these Terms, or any acts or omissions for which you contend that Yuma is liable (each, a
“Dispute”
) shall be finally and exclusively settled by binding arbitration administered by JAMS. The arbitration shall be conducted on a confidential basis before a single arbitrator in New York, New York, unless the parties agree otherwise. The arbitrator shall have exclusive authority to resolve any Dispute, including disputes concerning arbitrability, scope, enforceability, or formation of this arbitration provision. Unless Yuma agrees otherwise, the arbitrator may not consolidate your claims with those of any other party. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If a Dispute must proceed in court for any reason, then, to the fullest extent permitted by law, you and Yuma agree that such Dispute shall be brought exclusively in the state or federal courts located in New York County, New York, and you waive any right to a jury trial.
13. Class Action and Jury Trial Waiver

To the fullest extent permitted by law, you and Yuma agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, private attorney general, or mass action or proceeding. Unless Yuma agrees otherwise, no arbitrator or court may consolidate more than one person’s claims or otherwise preside over any form of representative, collective, or class proceeding. You and Yuma knowingly and irrevocably waive, to the fullest extent permitted by law, any right to a jury trial in any proceeding permitted to proceed in court.
14. Miscellaneous

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Yuma’s failure to enforce any provision will not operate as a waiver. These Terms constitute the entire agreement between you and Yuma with respect to the Services and supersede all prior or contemporaneous understandings, communications, and agreements on that subject. Section headings are for convenience only and have no legal effect. Yuma may assign these Terms or any of its rights or obligations under these Terms at any time without notice. You may not assign or transfer these Terms or any rights or obligations hereunder without Yuma’s prior written consent. These Terms will inure to the benefit of the parties and their respective permitted successors and assigns. Yuma may provide notices to you by posting through the Services, by email, or through any contact information associated with your use of the Services. You consent to receiving electronic notices, disclosures, and records. To the fullest extent permitted by law, any claim arising out of or relating to the Services or these Terms must be commenced within one year after the cause of action accrues.
